This Memorandum of Agreement (“Agreement”) is made between eSIM+ and the Affiliate Partner (“Affiliate”):

1. Purpose
The purpose of this Agreement is to establish the terms under which the Affiliate will promote the eSIM+ mobile application through a unique referral link and/or referral code.
2. Affiliate Promotion
The Affiliate agrees to promote eSIM+ through approved marketing channels, including but not limited to social media, messaging platforms, websites, and personal networks.
Each Affiliate will be assigned a unique referral link and/or referral code for tracking successful customer purchases.
3. Reward Structure
The Affiliate shall receive a fee for all successful sales completed through their assigned referral link and/or referral code.
A “successful sale” refers to a completed and paid eSIM purchase made through the eSIM+ application and properly attributed to the Affiliate’s referral link or code.
The fee to receive shall correspond to the following percentage of the successful sale, inclusive of any taxes:

4. Payment Terms
Commission payments shall be made via PayNow on the same day the referred customer successfully purchases an eSIM through the eSIM+ application, subject to successful transaction verification.
The Affiliate is responsible for providing accurate PayNow payment details.
5. Fraudulent Activity
eSIM+ reserves the right to withhold or cancel commissions resulting from fraudulent, suspicious, self-generated, or abusive transactions.
6. Independent Relationship
Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between eSIM+ and the Affiliate. The Affiliate acts as an independent promoter.
7. Termination
Either party may terminate this Agreement at any time with written notice. Any unpaid valid commissions earned prior to termination shall remain payable.
8. Confidentiality
The Affiliate agrees not to disclose confidential business information, customer information, or internal operational details relating to eSIM+.
9. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of Singapore.
Acceptance and Acknowledgment
By participating in the eSIM+ Affiliate Program and using the assigned referral link and/or code, the Affiliate acknowledges and agrees to the terms stated in this Agreement.
